Official Rules
May 22, 2008 – August 7, 2008

PRELIMINARY INFORMATION: NO PURCHASE NECESSARY. This Sweepstakes is only open to permanent legal residents of the forty eight (48) contiguous states of the United States and the District of Columbia who are physically located and residing therein, and who are eighteen (18) years of age or older as of May 22, 2008. Residents of the states of Alaska, Hawaii, Guam, Puerto Rico and all other U.S. territories and possessions are not eligible to enter this Sweepstakes. The Honda/Last Comic Standing Sweepstakes ("Sweepstakes"), which will take place in conjunction with the Last Comic Driving Competition, begins on May 22, 2008 at 9:00:01 p.m. ET and ends on August 7, 2008, at 8:59:59 p.m. ET ("Sweepstakes Period"). All times in these Official Rules refer to Eastern Time.

TO ENTER: Beginning at 9:00:01 p.m. ET on May 22, 2008, coinciding with the scheduled Eastern Time NBC broadcast of Last Comic Standing ("Show"), viewers will be invited to participate in the Sweepstakes. (Check local listings for exact dates and times when Show will be aired.) To enter, access the Sweepstakes web site at http://www.nbc.com/Last_Comic_Standing/hondasweeps ("Web Site"), click on the Sweepstakes icon or text link, either of which will take you to the Sweepstakes home page, and follow the online instructions to rate the videotaped performances (collectively, the "Performances") of the weekly featured comic ("Featured Comic") in the Last Comic Driving Competition, based on the judging criteria (provided below). The Performances will be available for public rating each Thursday, beginning at 9:00:01 pm ET and ending the following Thursday at 8:59:59 pm ET (i.e. for seven (7) days) ("Rating Period") (See chart below for Rating Period start and end dates and times.) During each of the first ten (10) Rating Periods, one (1) Featured Comic's Performance will be made available for public rating. During Rating Period # 11, all ten (10) Featured Comics' Performances will be made available for public rating. The rating of the Performances on the Web Site will be based upon the following criteria ("Judging Criteria") each of which is of equal importance: 1) Originality; 2) Presentation; and 3) Humorous Content. The rating of the Performances should be based on the Judging Criteria and the Performances only; any other non-competition material (e.g., backstage video, or interviews) that may appear on the Web Site is not to be considered while rating the Performances. After you have rated the Featured Comic's Performances, you will be directed to a Sweepstakes entry page and entry form. Then complete and thereafter submit the entry form. Information required on the entry form (collectively "Entry Information") consists of your complete first and last name, complete address (including zip code), telephone number (including area code), date of birth, and e-mail address. You may also enter without rating a comic by going directly to the Sweepstakes entry page and entry form at the bottom of the Web Site and entering your Entry Information and thereafter submitting your entry form ("Entry"). If entrant is a resident of a jurisdiction that deems him/her to be a minor, he/she must obtain consent from his/her parent or legal guardian prior to submitting any personally identifiable information. Entries must be received by 8:59:59 pm ET on August 7, 2008. Limit one (1) Entry per person and/or email address per day. Limit seventy-eight (78) total Entries per person and/or email address for the entire Sweepstakes Period. All required Entry Information must be completed in full. Any attempted form of entry other than as described herein is void. All Entries become the property of NBC Universal, Inc. and American Honda Motor Company, Inc. ("Honda") (collectively, "Sponsors"), and will not be acknowledged or returned. Featured Comics, Performances, Entry Periods, Entry dates, Entry times and broadcast dates and times of the Show are subject to change in Sponsors' sole discretion; and any such changes will be posted on the Web Site. Sweepstakes Entities (described below) are not responsible for any cancellation, pre-emption, non-broadcast, or out-of-normal-timeslot-broadcast of any part of the Show containing a Sweepstakes element, including, but not limited to, the cancellation, preemption, non-broadcast, or out-of-normal-timeslot broadcast of all or part of the Show containing a Performance, and Sponsors may choose, at their sole discretion, in such event to cancel, modify, or suspend the Sweepstakes, or any portion thereof and conduct a random drawing from among entities received prior to that time. Multiple Entries received from any person or email address beyond the stated limit will void all such additional Entries. Entries generated by a script, macro, or other automated means will be disqualified. Entries that are incomplete, garbled, corrupted, or unintelligible for any reason, including, but not limited to, computer or network malfunction or congestion, are void and will not be accepted. In case of a dispute over the identity of an entrant who made a potentially winning Entry, Sponsors reserve the right to deem that the Entry was made by the registered subscriber of the email address submitted at the time of entry. Any personal information supplied by entrants to Sponsors will be subject to Sponsors' Privacy Policies and Terms Of Use posted at the Web Site. Except where prohibited by law or Sponsors' Privacy Policies, Entry constitutes permission to use entrant's name, city, state, likeness, image, and/or voice for purposes of advertising, promotion, and publicity without additional compensation.

ELIGIBILITY: Open only to permanent legal residents of the forty eight (48) contiguous states of the United States and the District of Columbia who are physically located and residing therein, and who are eighteen (18) years of age or older as of May 22, 2008. Entrants must have either a valid social security number and/or a valid U.S. personal tax identification number and possess a valid U.S. driver's license issued by one of the fifty (50) United States or the District of Columbia. Residents of the states of Alaska and Hawaii and residents of Guam, Puerto Rico and all other U.S. territories and possessions are not eligible to enter this Sweepstakes. Officers, directors, and employees of Sweepstakes Entities, members of these persons' immediate families (spouses and/or parents, children, and siblings, and their spouses), and/or persons living in the same households as such persons (whether related or not) are ineligible to enter the Sweepstakes. Sweepstakes Entities, as referenced herein, shall include Sponsors, participating stations, stations airing the Show, and their respective parent, subsidiary, and affiliated companies and administrative, advertising, and promotion agencies.

WINNER SELECTION AND NOTIFICATION: Winner will be selected in a random drawing by Sweepstakes administrator from all eligible Entries on or about August 21, 2008. Sponsor will make two (2) attempts within a twenty-four (24) hour period to notify the potential winner at the phone number submitted at the time of entry. The potential winner (if a resident of a jurisdiction that deems winner to be a minor, his/her parent or legal guardian) will be required to execute and return (via shipping service pre-paid by Sponsors) an Affidavit of Eligibility, Liability Release, Publicity Release (where legal), a copy of his/her valid U.S. driver's license issued by one of the fifty (50) United States or the District of Columbia, an IRS Form W-9 and any other documentation that Sponsors may require (collectively, "Sweepstakes Documents") within five (5) days after receipt of these documents by the potential winner or the potential winner may be disqualified and an alternate winner may be selected from the remaining eligible Entries. By returning the completed Sweepstakes Documents, the potential winner attests to the authenticity of his/her Entry. If the potential winner cannot be reached, if he/she is found to be ineligible, if he/she cannot or does not comply with these Official Rules, and/or if his/her prize or prize notification is returned as undeliverable, that potential winner will be disqualified and an alternate winner may be selected from the remaining eligible Entries.

PRIZE/ODDS OF WINNING: There will be one (1) prize awarded consisting of a 2009 Honda Pilot 2WD LX ("Vehicle") with an Estimated Retail Value ("ERV") of thirty-two thousand dollars ($32,000) ("Prize"). All details of the Prize will be determined by Sponsors in their sole discretion. Total ERV of Prize is thirty-two thousand dollars ($32,000). Odds of winning Prize depend on the number of eligible Entries received throughout the entire Sweepstakes Period. Any differences between the stated ERV and the actual Manufacturer's Suggested Retail Price ("MSRP") will not be awarded. Any depiction of Prize is for illustrative purposes only. No substitution, transfer, or cash equivalent will be awarded in lieu of Prize, except that Sponsors, at their sole discretion, reserve the right to substitute Prize (or portion thereof) of comparable or greater value for any reason. Vehicle will only be delivered to an address within the forty-eight (48) contiguous United States and the District of Columbia (excluding Alaska, Hawaii, Puerto Rico, Guam, and the U.S. Virgin Islands). Winner (if a resident of a jurisdiction that deems winner to be a minor, his/her parent or legal guardian) must take delivery of the Vehicle at a location designated by Sponsors in their sole discretion ("Delivery Site"). Sponsors or their representatives reserve the right, but are not obligated, to designate the Delivery Site as the winner's residence or a dealership close thereto. Sponsors will use all reasonable efforts, subject to availability, to deliver the Vehicle within ninety (90) days of receipt of a completed Sweepstakes Documents (defined above). Sponsors are not responsible for any delays in the delivery of the Vehicle. In order to accept the Vehicle, winner must possess and present adequate personal identification, evidence of legally required insurance, and a valid U.S. driver's license issued by one (1) of the fifty (50) United States or the District of Columbia. Winner bears the risk of damage to Vehicle after delivery to specified Delivery Site and Vehicle will be forfeited if not picked up within thirty (30) days after delivery thereto. Vehicle shown may not be actual Vehicle delivered. All reasonable efforts shall be used to provide the same model and year as shown or at least a Vehicle having substantially the same dealer cost. Winner is solely responsible for all travel and transportation costs incurred in connection with collecting Vehicle, as well as any sales tax, luxury tax, title and license fees, registration fees, insurance, additional options, and any other costs incurred in claiming, registering, or using the Vehicle, including, without limitation, any costs incurred in bringing the Vehicle from the Delivery Site to the winner's home and any other costs/expenses not specifically mentioned as being included. Vehicle will be delivered solely with the express written limited warranties set forth in the applicable Warranty Booklet. Winner is not eligible for any cash rebate programs. Interior/exterior colors of the Vehicle will be determined by Sponsors in their sole discretion. Winner agrees that Honda has neither made nor is responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to the Vehicle, including, but not limited to, the quality, mechanical condition, or fitness, except that Vehicle does include Honda's standard new vehicle limited warranty as set forth in the Vehicle's Warranty Booklet (see Honda dealers for full details). All federal, state, or other taxes, including, without limitation, income taxes, are the sole responsibility of winner. Winner will receive a 1099 form for the total ERV of his/her Prize (stated herein).

CONDITIONS: By entering the Sweepstakes, each entrant agrees for entrant and for entrant's heirs, executors, and administrators: (a) to release and hold harmless Sweepstakes Entities and their respective officers, directors, employees, shareholders, representatives, and agents (collectively, "Released Parties") from any liability, illness, injury, death, loss, litigation, or damage that may occur, directly or indirectly, whether caused by negligence or not, from such entrant's participation in the Sweepstakes and/or his/her acceptance, possession, use, misuse, or inability to use Prize; (b) to indemnify Released Parties from any and all liability resulting or arising from the Sweepstakes and to hereby acknowledge that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to Prize, including express warranties provided exclusively by the Prize supplier that are sent along with Prize; (c) if selected as the Winner, to the posting of such entrant's name on and the use by Released Parties of such name, voice, image, and/or likeness for publicity, promotional, and advertising purposes without additional compensation (except where prohibited), and, upon request, to the giving of consent, in writing, to such use; and (d) to be bound by these Official Rules and to waive any right to claim any ambiguity or error therein or in the Sweepstakes itself, and to be bound by all actions of the Sponsors, whose decisions are binding and final. Failure to comply with these conditions may result in disqualification from the Sweepstakes. In the event of a dispute as to the identity of an entrant, the authorized account holder of the email address used to enter, if applicable, will be deemed to be the entrant. "Authorized account holder" of an email address is defined as the natural person who is assigned to an email address by an Internet Service Provider, on-line service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.

ADDITIONAL TERMS: Sponsor reserves the right to terminate the Sweepstakes or permanently disqualify from any promotion any person they believe has intentionally violated these Official Rules. Any attempt to deliberately damage the Sweepstakes or operation thereof is unlawful and subject to legal action by Sponsors, who may seek damages to the fullest extent permitted by law. Sponsors reserve the right to cancel or modify the Sweepstakes should any computer virus, malfunction, or other cause beyond their control corrupt the administration, security, or proper operation thereof. In the event of cancellation, Prize will be awarded from among all eligible, non-suspect Entries received prior to the event requiring cancellation. Notice of cancellation will be posted at http://www.nbc.com/Last_Comic_Standing/hondasweeps. The failure of Sponsors to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of Sponsors (excepting compliance with applicable codes and regulations), or other "force majeure" event will not be considered a breach of these Official Rules. Released Parties assume no responsibility for any injury or damage to entrants' or to any other person's computer and/or telephone relating to or resulting from entering or downloading materials or software in connection with the Sweepstakes. Released Parties are not responsible for telecommunications, network, electronic, technical, mobile telephone service, or computer failures of any kind; for inaccurate transcription of Entry Information; for errors in any promotional or marketing materials or in these Official Rules; for any human or electronic error; or for Entries that are stolen, misdirected, garbled, delayed, lost, late, damaged, or returned.

DISPUTES: THE SWEEPSTAKES IS GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE INTERNAL, SUBSTANTIVE LAWS OF THE STATE OF NEW YORK, AND THE FORUM AND VENUE FOR ANY DISPUTE SHALL BE IN NEW YORK, NEW YORK. IF THE CONTROVERSY OR CLAIM IS NOT OTHERWISE RESOLVED THROUGH DIRECT DISCUSSIONS OR MEDIATION, IT SHALL THEN BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY JUDICIAL ARBITRATION AND MEDIATION SERVICES, INC., IN ACCORDANCE WITH ITS STREAMLINED ARBITRATION RULES AND PROCEDURES OR SUBSEQUENT VERSIONS THEREOF ("JAMS RULES"). THE JAMS RULES FOR SELECTION OF AN ARBITRATOR SHALL BE FOLLOWED, EXCEPT THAT THE ARBITRATOR SHALL BE EXPERIENCED AND LICENSED TO PRACTICE LAW IN NEW YORK. ALL PROCEEDINGS BROUGHT PURSUANT TO THIS PARAGRAPH WILL BE CONDUCTED IN THE COUNTY OF NEW YORK. THE REMEDY FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEY'S FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF.
