No purchase necessary to enter or win. VOID WHERE PROHIBITED. Awkward Moments Sweepstakes (the "Sweepstakes") begins at 5:00:00 p.m. Pacific Time ("PT") on September 29, 2008 and ends at 8:59:59 a.m. PT on December 31, 2008 (the "Sweepstakes Period"). All times in this Sweepstakes refer to Pacific Time.
1.     SPONSOR(S). NBC Universal, Inc., 30 Rockefeller Plaza, New York, New York 10112 and Choice Hotels International ("Choice Hotels"), 10750 Columbia Pike, Silver Spring, MD 20901 (collectively, "Sponsors").
2.     ELIGIBILITY. The Sweepstakes is open only to legal permanent US residents physically residing in the United States and the District of Columbia (residents of Puerto Rico, Guam, Virgin Islands and other United States territories are excluded from entry and participation) who are the age of majority for the state in which they reside as of September 29, 2008. Officers, directors, agents and employees of Sponsors and their parents, affiliates, subsidiaries, advertising and promotion agencies involved in the development or administration of this Sweepstakes, and any other entity involved in the development or administration of the Sweepstakes, and their immediate family members (parent, child, spouse, sibling and their respective spouses, regardless of where they reside) and/or those living in the same household of each, whether or not related, are not eligible to participate or win in the Sweepstakes. Entries must be received by the time stated below to be eligible.  Sweepstakes is subject to all applicable federal, state, and local laws and regulations. Void where prohibited or restricted by law. Sponsors reserve the right to verify eligibility qualifications of any entrant or winner.Â
3.     HOW TO ENTER. To enter, access the Sweepstakes Web site at http://www.nbc.com/Moments/Sweepstakes ("Web Site"), click on the Sweepstakes icon or text link, either of which will take you to the Sweepstakes home page, and follow the online instructions to view the three (3) Awkward Moments videos ("Videos") and answer the Awkward Moments Trivia Questions ("Trivia Questions"). Once all of the Trivia Questions have been answered, you will be directed to a Sweepstakes entry page and entry form, where you may complete and thereafter transmit the entry form. Information required on the entry form (collectively "Entry Information") consists of your complete first and last name, complete address (including zip code), telephone number (including area code), date of birth, and e-mail address ("Entry").  Trivia Questions do not have to be answered correctly in order to receive an Entry into the Sweepstakes. Entries must be received by 8:59:59 a.m. PT on December 31, 2008. You may enter once per day during the Sweepstakes Period. Limit ninety-four (94) total Entries per person/email address for the entire Sweepstakes Period. Multiple Entries received from any person or email address beyond this limit will void all such additional Entries. All required Entry Information must be completed in full. Any attempted form of entry other than as described herein is void. Entries generated by a script, macro or other automated means will be disqualified. Entries that are incomplete, illegible or corrupted are void and will not be accepted. Sponsors are not responsible for lost, late, illegible, incomplete, inaccurate, or mutilated entries. If there is a dispute as to the identity of an online entrant, the prize will be awarded to the authorized account holder of the email address. The "authorized account holder" is defined as the natural person to whom the email address is assigned by an internet service provider, online service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. All entries become the property of Sponsors and will not be acknowledged or returned. Entry constitutes permission (except where prohibited by law) to use entrant's name, city, state, likeness, image, and/or voice for purposes of advertising, promotion, and publicity without additional compensation.Â

4.     WINNER SELECTION AND NOTIFICATION. On or about January 26, 2009, employees or representatives of Sponsors, whose decisions are final and binding in all matters relating to this Sweepstakes, will conduct a random drawing to select one (1) potential Grand Prize winner from all eligible Entries received during the Sweepstakes Period. Potential Grand Prize winner will be notified by phone and/or email at the phone number or email address provided at time of entry. Sponsors will make two (2) attempts to contact the potential Grand Prize winner within 72 hours from the time of the Grand Prize winner's selection. If Sponsors are unable to reach a potential Grand Prize winner via phone or email within this time frame, he/she may be disqualified and an alternate Grand Prize winner may be selected. Potential Grand Prize winner will be required to complete, sign, have notarized and return an Affidavit of Eligibility, Liability Release ("Affidavit and Release") and a Publicity Release (unless prohibited by law) within seven (7) days of attempted notification. If these documents are not returned within such time period, the prize may be forfeited and an alternate Grand Prize winner may be selected at random from among all eligible non-winning entries received. If any prize notification, communication or correspondence of any kind or any prize is returned as undeliverable, the potential Grand Prize winner will be disqualified and an alternate Grand Prize winner may be selected from the remaining eligible entries received. A prize will be awarded

5.     PRIZES. One (1) Grand Prize winner ("Grand Prize Winner") will receive ten-thousand dollars ($10,000) to be awarded in the form of a check ("Prize"). Odds of winning depend on number of eligible entries received. All taxes and all other expenses, costs or fees associated with the acceptance and/or use of the Prize are the sole responsibility of the Grand Prize Winner. Sponsors will furnish an Internal Revenue Service Form 1099 to Grand Prize Winner for the prize value for the tax year the Prize was won. No transfer or substitution will be awarded in lieu of stated prize except by Sponsors who reserve the right to substitute a prize (or portion thereof) of comparable or greater value, at their sole discretion. All Prize details are at the sole discretion of the Sponsors.

6.     GENERAL CONDITIONS. Acceptance of Prize constitutes permission to Sponsors to use Grand Prize Winner's name, city, state, likeness, voice, biographical information and statements for purposes of advertising, promotion and publicity in any and all media, now or hereafter known, throughout the world in perpetuity without additional compensation, notification or permission, unless prohibited by law. By participating, entrant (i) agrees to release and hold Sponsors, their respective parents, affiliates, subsidiaries, and advertising and promotion agencies, any other entity involved in the development or administration of the Sweepstakes, and each of their respective directors, officers, employees and assigns (collectively, the "Released Parties"), harmless against any and all claims and liability of any kind (including, without limitation, personal injury, death, and/or property damage) arising in whole or in part, directly or indirectly, out of participation in the Sweepstakes or the acceptance, receipt, possession, misuse, nonuse or use of Prize (or portion thereof); (ii) waives all rights to claim direct, indirect, punitive, incidental and/or consequential damages, attorney's fees or any damages other than actual out-of-pocket costs incurred to enter; (iii) agrees to be bound by these Official Rules and the decisions of the Sponsors and their representatives, which are final and binding on all matters relating to the Sweepstakes; and (iv) agrees to waive any right to claim any ambiguity or error in these Official Rules or the Sweepstakes itself.

Released Parties are not responsible for incomplete, lost, late, stolen, damaged, illegible, misdirected, garbled, inaccurate, delayed or undelivered entries; for any computer, network, technical, mechanical, printing, typographical, human or other errors or problems of any kind relating to or in connection with the Sweepstakes, including, without limitation, errors or problems of any kind that may occur in connection with the administration of the Sweepstakes, the processing of entries, the announcement, delivery or use of any prize or in any Sweepstakes-related materials; or for any liability for damage to any computer system resulting from participating in, or accessing or downloading information in connection with this Sweepstakes. CAUTION: Any attempt by an entrant to deliberately damage any web site or undermine the legitimate operation of the Sweepstakes is a violation of criminal and civil laws, and should such an attempt be made, Sponsors reserve the right to seek damages from any such entrant to the fullest extent permitted by law, including criminal prosecution.

If this Sweepstakes is not capable of running as planned due to an infection by a computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsors (including, without limitation, in the event of any unanticipated occurrence that is not fully addressed in these rules), Sponsors reserve the right to postpone, cancel, or modify the Sweepstakes (or any element thereof, including, without limitation, these rules) in any manner and for any reason without notice, in their sole discretion. Sponsors also reserve the right in their sole discretion, to cancel, suspend or modify the Sweepstakes, or to disqualify any implicated entrant(s), (and their entries) if any fraud, virus, actions by entrants, technical or other error or problem of any kind, or any other occurrence corrupts or affects the administration, integrity, security, or proper play of the Sweepstakes, as determined by Sponsors in their sole discretion. In the event of cancellation, Sponsors reserve the right, at their sole discretion, to pick Grand Prize Winner in a random drawing from among all eligible entries received by Sponsors up until the time of such cancellation, termination, modification or suspension, as applicable. Notice of such cancellation, modification, or suspension will be posted on the Web Site. Sponsors reserve the right to terminate this Sweepstakes or permanently disqualify from any promotion any person it believes has violated these rules.Â

The failure of Sponsors to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, labor dispute, act of public enemies, actions of governmental authorities outside of the control of Sponsors (excepting compliance with applicable codes and regulations) or other force majeure event will not be considered a breach of these Official Rules.

DISPUTES: THE SWEEPSTAKES IS GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF NEW YORK, AND THE FORUM AND VENUE FOR ANY DISPUTE SHALL BE IN NEW YORK, NEW YORK. IF THE CONTROVERSY OR CLAIM IS NOT OTHERWISE RESOLVED THROUGH DIRECT DISCUSSIONS OR MEDIATION, IT SHALL THEN BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY JUDICIAL ARBITRATION AND MEDIATION SERVICES, INC., IN ACCORDANCE WITH ITS STREAMLINED ARBITRATION RULES AND PROCEDURES OR SUBSEQUENT VERSIONS THEREOF ("JAMS RULES"). THE JAMS RULES FOR SELECTION OF AN ARBITRATOR SHALL BE FOLLOWED, EXCEPT THAT THE ARBITRATOR SHALL BE EXPERIENCED AND LICENSED TO PRACTICE LAW IN NEW YORK. ALL PROCEEDINGS BROUGHT PURSUANT TO THIS PARAGRAPH WILL BE CONDUCTED IN THE COUNTY OF NEW YORK. THE REMEDY FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEY'S FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF.
